End-User License Agreement

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use the Software on devices you own or control
• Access and use the Software for your restaurant management and operational needs
• Use the Software in accordance with all applicable laws and regulations

3. License Restrictions

You agree NOT to:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove, alter, or obscure any proprietary notices on the Software
• Use the Software for any illegal or unauthorized purpose
• Share your account credentials with unauthorized parties
• Attempt to gain unauthorized access to our systems or networks
• Use the Software to transmit malware, viruses, or harmful code
• Sublicense, sell, rent, lease, or transfer your rights to the Software

4. Subscription and Payment

The Software is provided on a subscription basis. Your continued access to the Software is contingent upon maintaining an active, paid subscription. Payment terms are outlined in your subscription agreement.

We reserve the right to modify subscription fees with advance notice. Continued use of the Software after fee changes constitutes acceptance of the new fees.

5. Data and Privacy

Your use of the Software is also governed by our Privacy Policy. We collect, use, and protect your data as described in our Privacy Policy.

You retain ownership of all data you input into the Software. You grant us a limited license to process and store your data solely to provide the Software services.

6. Intellectual Property

The Software, including all content, features, functionality, and underlying technology, is owned by Mise and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used without our prior written consent.

7. Updates and Modifications

We may provide updates, patches, or modifications to the Software from time to time. These updates may be automatically downloaded and installed. You agree to receive such updates as part of your use of the Software.

We reserve the right to modify or discontinue the Software (or any part thereof) at any time with or without notice.

8. Disclaimers and Limitations of Liability

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SOFTWARE AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your access to or use of the Software
• Your violation of this EULA
• Your violation of any third-party rights

10. Termination

This EULA is effective until terminated. We may terminate or suspend your access to the Software immediately, without prior notice, for any reason, including if you breach this EULA.

You may terminate this EULA by discontinuing use of the Software and deleting all copies from your devices.

Upon termination, your right to use the Software will immediately cease. Sections 6, 8, 9, 11, and 12 shall survive termination.

11. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to this EULA shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

12. General Terms

Entire Agreement: This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Mise regarding the Software.

Amendments: We reserve the right to modify this EULA at any time. We will notify you of material changes via email or through the Software. Continued use of the Software after such changes constitutes acceptance.

Severability: If any provision of this EULA is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term.
